Key responsibilities include:
Corporate Work
- Form new corporations/entities (ex. Cooperatives and partnerships)
- Reservation of company name to use
- Prepare AOI and By Laws
- Prepare Treasurer's Affidavit and Bank Certificate
- Filing with SEC, CDA and follow-ups
- Register Company with BIR
- Pay DST on the Original Issued Shares
- Get Business Permit
- Amend Articles of Incorporation/By Laws:
- Prepare Corporate Authorizations
- Prepare Amended AOI or By Laws
- Filing with SEC - Pay DST
- Prepare Board Resolutions/Secretary's Certificates, minutes of meetings and maintain minute books:
- Receipt of instruction to prepare resolution
- Drafting of Minutes of Meetings
- Routing of minutes for signature
- Filing of minutes
- Execute General Information Sheets:
- Draft GIS
- Verify GIS
- Submission to SEC
- Prepare Subscription Agreements, Deeds of Assignment, Trust Agreements and other contracts and documents:
- Receive instruction on additional subscription
- Draft Agreements/Assignment Documents
- Routing for signature
- Filing
- Issuance of share certificates
- Recording subscriptions and transfers in the STB
- Giving of legal advice on corporate matters:
- Conduct research on a topic
- Write legal advice
- Send advise to requesting party
- Attendance of Meetings (Stockholders, Directors, Management Committees)
Project Related Tasks
- Prepare project documents like Sales Documents (Reservation Agreements, Contracts to Sell, Deeds of Sale, Deeds of Assignment; Management Agreements, Deeds of Restrictions etc.) and Lease Contracts;
- Prepare Joint Venture Agreements or Management Agreements;
- Monitoring and rendering assistance on delinquent accounts in coordination with other departments;
- Coordinate, deal and transact with Government Offices (DSHUD, LGU, RD, Provincial/City/Municipal/Barangay Councils, Officials and Others);
- Coordinate, deal and transact with Joint Venture Partners.
Real Estate Acquisition and Related Transactions
- Conduct due diligence on the title, tax declaration and condition of property:
- Get certified true copy of title/tax declaration
- Conduct ocular inspection
- Write advise
- Deal and negotiate with sellers:
- Receive instructions from management on terms of purchase;
- Negotiate with seller/broker
- Give advice to management on proposed terms of the sale
- Draft Memorandum of Agreements, Deeds of Sale, Contracts to Sell, Reservation Agreements and/or Letters of Intent:
- Draft Sales Documents
- Send to management for comment/approval
- Finalization
- Execution of sales documents
- Processing issuance of CAR and transfer of title/certificates:
- Submission of DOAS to BIR
- Assessment by BIR - Payment of Tax
- Follow-up of CAR
- Release of CAR
- Submission of CAR and TCT to RD
- Pay registration fees
- Release of new TCT
- Giving of legal advice on land titles and realty issues.
- Conduct research on a topic
- Write legal advice
- Send advise to requesting party
- Handling of Cases on Original Titling, Cancelation of Encumbrances, Quieting of Title and Ejectment and other issues related to Real Estate; Handling Patent Titling.
- Research and gathering of information
- Collation and gathering of requirements for judicial and/or administrative titling
- Drafting of complaints, answers, appeals and other pleadings
- Actual attendance of hearings
- Advise management of status of cases
- Endorsement and monitoring of cases to outside counsels
- Deal, transact and coordinate with the Land Registration Authority, Land Management Bureau, DENR, Register of Deeds, LGU and related agencies and instrumentalities.
Litigation Work; Actual Case Management
- Preparation of complaints and answers;
- Preparation of other pleadings;
- Preparation of judicial affidavits;
- Attendance of hearings and other court or administrative proceedings;
- Handling appellate work;
- Review of rules, laws and jurisprudence
- Working and coordinating with retained counsels.
Special Projects
- Provide legal services on government concessions held by the Company (ex. Integrated Forest Management Agreements, Mineral Production Service Agreements, Timber License Agreements, Foreshore Lease Agreements and others).
- Dealing with involved government agencies, offices, and public sector participants.
Other Matters
- Perform other legal work or assistance as may be assigned from time to time by the supervising attorney and management.
- Making timely reports to management.
- Providing legal assistance to other Company departments (i. e. Executive, Business Development, Accounting, Treasury, Human Resources and others).
- Should be willing to undertake out of town travels if necessary to attend to all of the foregoing matters.
Key requirements include:
- Must be a Certified Bar Passer
- With at least 2 years relevant experience
- Excellent verbal and communication skills
- Must have the ability to think analytically and must always be precise and careful
- Handled tasks related to: Corporate work, Real Estate transactions, Civil Litigations, Labor Litigations, and Contracts
